IMPORTANT NOTICE: THESE TERMS CONTAIN A BINDING ARBITRATION CLAUSE AND A CLASS ACTION WAIVER. READ THEM.

These Terms & Conditions ("Terms") govern your use of the GOAT ecosystem, including our website, TradingView Indicators, AI Quant assistant, and Community Discord (collectively, the "Service"), provided by AlgoatTV ("Company," "we," "us," "our," "AlgoatTV").

By accessing or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

Contracting Entity

These Terms constitute a binding legal agreement between you and r.ai — Sole Proprietorship, IL, organized under the laws of the State of Israel.

1. The Service: "Visual Math," Not Advice

What We Are: GOAT is a data visualization and educational software suite. We provide proprietary algorithms ("Scripts") that function as overlays on the TradingView platform to visualize historical price action using mathematical formulas. The Service also includes AI Quant, an AI-powered educational assistant that analyzes chart screenshots and explains indicator readings — it is not a financial advisor and does not provide trade signals.

What We Are NOT (The "No-BS" Clause):

  • ✗We are NOT a financial advisor, broker-dealer, or investment fund.
  • ✗We do NOT provide "buy" or "sell" signals.
  • ✗We do NOT manage your money.
  • ✗We do NOT guarantee profits.
  • ✗Any content published on our Discord server, YouTube channel, Reddit, social media, or any other distribution channel does NOT constitute financial advice, trade recommendations, or investment guidance of any kind.

Nature of Content: All charts, data, community discussions, and AI Quant outputs are for educational and informational purposes only. The "GOAT" indicators are simply a "calculator" that paints colors on a chart based on math. AI Quant uses artificial intelligence that can hallucinate, misinterpret data, or produce inaccurate outputs. You are solely responsible for interpreting all data and AI-generated content.

Publisher's Exclusion (U.S.) & Regulatory Status:

AlgoatTV (r.ai — Sole Proprietorship, organized under the laws of the State of Israel) is a non-U.S. publisher of impersonal, general-market technical-analysis software and educational content.

To the extent the U.S. Investment Advisers Act of 1940 (the "Advisers Act") applies to AlgoatTV as a non-U.S. publisher, AlgoatTV is NOT registered as an investment adviser with the U.S. Securities and Exchange Commission and relies upon the "publisher's exclusion" from the definition of "investment adviser" under Section 202(a)(11)(D) of the Advisers Act and corresponding state laws.

All content, indicators, scores, alerts, and AI Quant responses are impersonal and are NOT tailored to the investment needs, objectives, or financial situation of any specific person. Nothing we provide constitutes personalized investment advice.

AlgoatTV likewise does not provide "investment advice", "investment marketing", or "portfolio management" as defined under the Israeli Regulation of Investment Advice, Investment Marketing and Portfolio Management Law, 1995, and holds no license from the Israel Securities Authority (ISA). Users are solely responsible for compliance with the financial regulations applicable in their own jurisdiction.

Tracking & Advertising Technologies: Our website uses client-side tracking pixels (including the Reddit Pixel and Google Analytics) and server-side conversion APIs (including Reddit Conversions API) for advertising measurement and website analytics. Client-side pixels are subject to your cookie consent preferences. Server-side APIs may transmit hashed conversion data for verified purchases regardless of cookie settings, for payment verification and advertising measurement purposes. Full details are in our Privacy Policy.

2. Eligibility & Platform Requirements

To use the Service, you must:

  • Be 18 years or older.
  • Have a valid, active account on TradingView (for indicator access).
  • Have a valid account on Discord (for community access).
  • Provide accurate TradingView and Discord usernames during signup.

Responsibility: You are responsible for maintaining the security of your third-party accounts (TradingView/Discord). If you get banned from TradingView, that is your problem, and it does not entitle you to a refund from us.

3. User Conduct & Prohibited Activities

(The "Don't Steal Our Code" Clause)

The underlying code of our indicators (Pine Script) is our most valuable asset. You agree strictly NOT to:

  • Leak, share, or republish our source code or invite-only access links.
  • Reverse-engineer, decompile, or attempt to derive the source code of our algorithms.
  • Resell access to your account (e.g., "group buys").
  • Scrape our signals or data for use in outside automated trading bots without a commercial license.
  • Harass other members or staff in the Discord community.

Violation Consequences: If we catch you leaking our IP or sharing accounts, we will immediately terminate your license without refund and may pursue legal action for intellectual property theft.

4. Intellectual Property Rights

AlgoatTV Ownership: We retain all rights, title, and interest in the GOAT algorithms, brand, "Visual Math" methodology, website content, Training Materials (including all educational courses, videos, guides, PDFs, and supplementary learning content valued at $1,000+), AI Quant assistant (including its system prompts, knowledge base, and configuration), and all community content produced by AlgoatTV staff. These materials are licensed to you for personal use only during your active subscription and may not be downloaded in bulk, screenshotted for redistribution, shared, resold, or redistributed in any form.

Limited License to You: We grant you a limited, non-exclusive, non-transferable, revocable license to use the Indicators on your personal TradingView chart for the duration of your paid subscription. You are renting the software; you do not own it.

5. RISK DISCLOSURE & DISCLAIMERS

TRADING IS HIGH RISK. By using this Service, you explicitly acknowledge:

  • You Can Lose Everything: Trading financial markets involves a high risk of loss. You should not trade with money you cannot afford to lose.
  • No Guarantee of Performance: Past performance of the GOAT indicator is not indicative of future results. The market changes. Our math is static.
  • "As Is" Basis: The Service is provided "AS IS" without warranties of any kind. We do not warrant that the indicators will be error-free or that TradingView will always be online.
  • We Are Not Liable: AlgoatTV is not responsible for any trading losses, missed opportunities, or bad decisions you make based on our visuals.

Distribution Channels Disclaimer: The foregoing disclaimer applies equally to all AlgoatTV distribution channels and platforms, including but not limited to: our website (algoat.tv), Discord server, TradingView scripts and publications, YouTube channel, Reddit posts and comments, social media accounts, email newsletters, and any other medium through which AlgoatTV content is delivered. No content on any of these channels constitutes financial advice, a trade recommendation, or an investment signal of any kind.

Your Express Acknowledgment of No Reliance:

By completing your registration or purchase, you expressly acknowledge, confirm, and agree that:

  • (a)You have NOT relied on AlgoatTV, its indicators, AI Quant, or any content published on any AlgoatTV distribution channel — including Discord, TradingView, YouTube, Reddit, or social media — in making any trading decision;
  • (b)Any losses you incur in financial markets are solely the result of your own independent trading decisions, for which you bear full and exclusive responsibility;
  • (c)You waive any and all claims against AlgoatTV, its owners, officers, and affiliates arising from or related to your trading results, trading losses, or missed opportunities, regardless of which AlgoatTV platform or channel you encountered the relevant content on;
  • (d)You declare that you have read, understood, and expressly accept all of the above.

6. Subscriptions, Payments & Refund Policy

6.1 Subscription Plans

GOAT Toolkit is offered in three pricing options:

  • •Free Tier: $0 — Limited features including Moving Averages Lens indicator, Composite Fear & Greed Indicator, Trading Journal (limited to 5 positions), and limited Community access. Includes a one-time 7-Day Full Access Trial of all GOAT Pro features.
  • •GOAT Pro Monthly: $49/mo — Billed every 30 days. Cancel anytime.
  • •GOAT Pro Annual: $29/mo equivalent — Billed as a single upfront payment of $348/year. Save ~$240/year (~40%) versus paying monthly.

Payment Processing: All paid subscriptions are processed through Tranzila (credit card payments, PCI DSS Level 1 compliant) and/or PayPal (subscription billing). By purchasing, you agree to the respective payment processor's terms of service.

Pricing is subject to change; the rate in effect at your time of purchase or renewal applies.

6.2 Free Tier & 7-Day Full Access Trial

The Free tier provides limited access to the AlgoatTV ecosystem at no cost. The Free tier does NOT include the three premium indicators (G.O.A.T. Toolkit v8.1, Neural Engine v5.2, Macro Command Center v4.3), the 53 alert conditions, Training Materials, or Priority Discord access.

7-Day Full Access Trial: New users on the Free tier receive a one-time 7-day trial with access to all GOAT Pro features. No payment information is required, and you will not be charged. After the 7-day period, your account automatically reverts to Free tier features. The trial is limited to one per user/account. Creating duplicate accounts to access additional trials is a violation of these Terms and may result in permanent account termination.

AlgoatTV reserves the right to modify, limit, or discontinue the Free tier and/or the 7-Day Trial at any time without notice. The Free tier does not constitute a paid subscription and no refund rights or 30-Day GOAT Guarantee™ apply.

6.3 30-Day GOAT Guarantee™

We offer a 30-Day GOAT Guarantee™ on all new GOAT Pro subscriptions (both Monthly at $49/mo and Annual at $348/year). If you are not satisfied with the service for any reason, you may request a full refund within 30 days of your initial purchase date by contacting service@algoat.tv. For Monthly subscribers, the guarantee applies to the first month's payment only. The 30-Day GOAT Guarantee™ is available once per customer. If you have previously received a refund under this guarantee, subsequent subscriptions are non-refundable regardless of plan type.

6.4 No Refunds After 30 Days

  • Within 30 Days: Full refund available under the 30-Day GOAT Guarantee™ if you request it within 30 days of your initial purchase.
  • After 30 Days: ALL SALES ARE FINAL. No refunds for unused time, "forgetting to cancel," or poor trading performance. For Monthly plans, canceling after 30 days stops future billing at the end of your current 30-day cycle. For Annual plans, canceling after 30 days stops future renewal but does not refund any portion of the current annual term; you retain access until the end of your 365-day period.

6.5 How to Cancel

You may cancel your GOAT Pro subscription at any time through your Account Modal → Cancel Subscription button. Alternatively, you may request cancellation by emailing service@algoat.tv.

6.6 Account Removal

You may request permanent account deletion through your Account Modal → Request Removal button. Account removal requests are processed within 7 business days. Upon deletion, all personal data, journal entries, and subscription access are permanently removed, subject to legal retention requirements (see our Privacy Policy). Any active paid subscription will be cancelled and remaining access forfeited with no refund for unused time.

6.7 Automatic Renewal

All paid GOAT Pro subscriptions (Monthly and Annual) will AUTOMATICALLY RENEW at the end of each billing cycle unless you cancel before the renewal date. Monthly plans renew every 30 days at the then-current monthly rate. Annual plans renew every 365 days at the then-current annual rate. By purchasing, you authorize AlgoatTV to charge your payment method — via Tranzila (credit card) or PayPal (subscription billing) — at the applicable recurring rate until you cancel.

6.8 Feature Access & Trading Journal

Certain features, including the Trading Journal, Portfolio Tracker, and AI Quant, may be made available to users at the sole discretion of AlgoatTV. Access to these features may be granted, modified, or revoked at any time without prior notice. Access to the Trading Journal does not constitute a separate service or entitle the user to any additional refund rights beyond those stated above.

AlgoatTV reserves the right to limit, suspend, or discontinue the Trading Journal and/or AI Quant features at any time. In the event any feature is discontinued, AlgoatTV will make reasonable efforts to allow users to export or download their trade data prior to discontinuation, but does not guarantee data availability after the feature is removed.

6.9 Chargebacks & Payment Disputes

If you initiate a chargeback or payment dispute with your bank, credit card company, Tranzila, PayPal, or any other payment provider instead of contacting us directly at service@algoat.tv, we reserve the right to: (a) immediately suspend or terminate your account and revoke all access to the Service; (b) contest the chargeback with all available evidence including Tranzila and PayPal transaction records; and (c) pursue recovery of any costs incurred, including chargeback fees and administrative costs. We strongly encourage you to contact service@algoat.tv first to resolve any billing concern — we are committed to resolving issues directly and promptly.

7. Third-Party Platform Dependency

Our Service runs entirely on the TradingView platform. AI Quant relies on third-party AI providers for processing.

  • • We do not own TradingView or the underlying AI models powering AI Quant.
  • • If TradingView changes their coding language (Pine Script), suffers server outages, or removes the "Invite-Only" feature, AlgoatTV is not liable.
  • • We will make reasonable efforts to update our code to match TradingView's changes, but we cannot guarantee indefinite compatibility.

8. LIMITATION OF LIABILITY

WE ARE LIMITING YOUR RIGHT TO SUE US.

To the fullest extent permitted by law:

  • • AlgoatTV shall not be liable for any indirect, incidental, special, or consequential damages (including trading losses).
  • • Our total liability to you for any claim arising out of the Service shall never exceed the amount you paid us in the last six (6) months.

8.1 Force Majeure

AlgoatTV shall not be liable for any delay, interruption, degradation, or failure to perform resulting from causes beyond its reasonable control, including but not limited to: war, terrorism, cyber-attacks, internet or telecommunications outages, power failures, cloud-provider outages (including AWS and Cloudflare), AI-provider outages (including Anthropic and OpenAI), and — because our indicators run on and depend on the TradingView platform — any TradingView outage, suspension, rate-limiting, API change, script removal, or other change to the TradingView platform; as well as government actions and natural disasters.

9. Governing Law, Arbitration & Class Action Waiver

Governing Law: These Terms are governed by the laws of the State of Israel, without regard to its conflict of law provisions. Any dispute not resolved by arbitration shall be subject to the exclusive jurisdiction of the competent courts of Tel Aviv, Israel.

Mandatory Arbitration Clause:

Any dispute, controversy, or claim arising out of or relating to these Terms or the breach, termination, enforcement, interpretation, or validity thereof, including the determination of the scope or applicability of this agreement to arbitrate, shall be determined by binding arbitration in Tel Aviv, Israel, administered by the Israeli Arbitration Law. This includes any claims related to AI Quant outputs, indicator performance, or community content.

Informal Resolution Requirement:

Before initiating arbitration, you must first contact us at service@algoat.tv and attempt to resolve the dispute informally for at least 30 days.

CLASS ACTION WAIVER

YOU AND AlgoatTV AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. You waive any right to participate in a class action or class-wide arbitration.

Exceptions:

Either party may seek injunctive or other equitable relief in a court of competent jurisdiction to protect intellectual property rights.

10. Promotional Offers & Founding Member Program

From time to time, AlgoatTV may offer promotional programs, including but not limited to the "Founding Member" program which provides free or discounted access to the Service.

PROMOTIONAL OFFER TERMS

  • •All promotional offers, including the Founding Member program, may be cancelled, modified, or discontinued at any time without prior notice or reason.
  • •AlgoatTV reserves the sole and absolute discretion to terminate any promotional program.
  • •Promotional access does not create any ongoing entitlement or contractual right to continued free access.
  • •Upon termination of a promotional offer, users may be required to subscribe to a paid plan to maintain access.
  • •Promotional/Founding Member access is provided at no cost; therefore no refund rights apply.

By accepting a promotional offer, you acknowledge and agree to these terms.

11. Changes to Terms

We may update these Terms at any time to reflect changes in our risk profile or services. Continued use of the Service after changes constitutes acceptance.

12. Governing Law & Jurisdiction

These Terms and any dispute or claim arising out of or in connection with them shall be governed by and construed in accordance with the laws of the State of Israel (IL), without regard to its conflict of law provisions.

Subject to the Arbitration clause above, any dispute that proceeds to court shall be subject to the exclusive jurisdiction of the competent courts of Israel. You irrevocably submit to the personal jurisdiction of those courts and waive any objection to proceedings in those courts on grounds of venue, inconvenient forum, or any similar grounds.

The English language version of these Terms shall be the controlling and binding version. Any translation provided is for convenience only and has no legal effect.

TradingView Trademark & Affiliate Disclosure

The majority of AlgoatTV's indicators are built on and operate within the TradingView platform. TradingView® is a registered trademark of TradingView, Inc. (www.TradingView.com). TradingView® has no affiliation with, and does not endorse, sponsor, or guarantee, AlgoatTV (r.ai — Sole Proprietorship, IL), its owner, or any of the products or services described herein. Any reference to TradingView is for identification and compatibility purposes only.

Affiliate Disclosure: Our website contains affiliate links to TradingView. If you click such a link and subscribe to or purchase a TradingView plan, AlgoatTV may earn a commission, at no additional cost to you. This is a paid marketing relationship that does not affect the price you pay and does not influence our educational content.
